1. General Provisions

1.1. This document constitutes a public offer (hereinafter – the “Offer”) of the Corporate Fund “NU IMPACT FOUNDATION”, BIN 120140016261, address: 53 Kabanbay Batyr Avenue, Astana, Republic of Kazakhstan (hereinafter – the “Fund”), addressed to an indefinite number of persons (hereinafter – the “Donor”), to enter into a donation agreement (hereinafter – the “Agreement”) in accordance with Articles 395 and 396 of the Civil Code of the Republic of Kazakhstan.

1.2. The text of the Offer is published on the official website of the Fund: https://fund.nu.edu.kz (hereinafter – the “Website”) and applies to donations made online via payment services and forms available on the Website.

2. Acceptance of the Offer

2.1. The transfer by the Donor of funds to the Fund as a donation via bank transfer using the details specified in Section 12 of this Offer, as well as via bank cards, electronic payment systems, and other means enabling the Donor to transfer funds (including clicking the “Donate” button, entering payment details, confirming payment, etc.), shall constitute full and unconditional acceptance of this Offer.

2.2. The performance by the Donor of any of the actions specified in Clause 2.1 of the Agreement shall be deemed acceptance of the Offer in accordance with Clause 3 of Article 396 of the Civil Code of the Republic of Kazakhstan.

2.3. The date of acceptance of the Offer, and thus the date of conclusion of the Donation Agreement, shall be the date on which the donation funds are credited to the Fund’s bank account.

3. Subject Matter and Purpose

3.1. The Donor voluntarily and gratuitously transfers funds to the Fund in the amount specified at the time of payment for the implementation of the Fund’s statutory purposes. The Fund’s Charter is available on the Website: https://fund.nu.edu.kz.

3.2. The Donor’s actions under this Agreement shall be recognized as a donation in accordance with Article 516 of the Civil Code of the Republic of Kazakhstan.

3.3. The Donor independently determines the amount of the donation and has the right to request information from the Fund regarding the use of the donation in accordance with its intended purpose.

3.4. If the Donor specifies a designated purpose, the Fund shall endeavor to use the funds accordingly. In case of objective impossibility (termination or modification of a program, insufficiency or excess of funds), the Fund shall have the right to allocate the donation to other purposes within the scope of its Charter.

4. Activities of the Fund

4.1. The purpose of the Fund’s activities is to promote societal development in the fields of education, research, science and technology, social development, culture, charity, innovation, sports, governance, sustainable development, infrastructure, student self-governance, and other socially beneficial areas, as well as to form assets for these purposes through voluntary contributions and other lawful sources.

4.2. The Fund does not engage in commercial activities and does not pursue profit-making objectives.

4.3. The Fund publishes information about its activities and performance reports on its Website: https://fund.nu.edu.kz.

5. Non-Refundability of Donations

5.1. A donation is an irrevocable gift. Funds transferred as donations are non-refundable.

5.2. Exceptions are possible only in the following cases:
a) erroneous payment (duplicate transaction);
b) unauthorized transaction/fraud confirmed by the acquiring bank/payment system;
c) technical failure of the payment service.

5.3. A request for a refund shall be submitted by the Donor to fundsupport@nu.edu.kz within 14 (fourteen) calendar days from the date of the relevant payment and shall include:

• an application indicating full name, reason for refund, date, amount, and bank details for the refund;
• a copy of an identity document;
• a bank statement confirming the existence of an account;
• proof of payment (receipt).

If approved, the refund shall be made by the Fund to the bank details specified in the application.

6. Payment Methods and Currency

6.1. Payments are accepted via EPAY by Halyk Bank using bank cards [VISA/Mastercard/Apple Pay/Google Pay], as well as other methods indicated on the Website. Currency: [KZT]. Currency conversion may apply according to the Donor’s bank rules.

6.2. Fees charged by payment providers and banks may be deducted in accordance with their applicable fees.

7. Recurring (Periodic) Donations

7.1. The Donor may arrange recurring donations (subscription). Charges shall be made automatically on a monthly basis.

7.2. The Donor may cancel the subscription at any time by sending a request to fundsupport@nu.edu.kz no later than 3 (three) business days prior to the next scheduled charge.

8. Receipts and Reporting

8.1. An electronic payment confirmation shall be sent to the email address provided by the Donor at the time of payment.

9. Personal Data

9.1. The Donor consents to the processing of personal data provided when making a donation (full name, email address, bank details), including transfer to third parties (under agreements with the Fund), for the purposes of performance of this Agreement, including collection, recording, systematization, accumulation, storage, updating, retrieval, use, transfer, anonymization, blocking, deletion, and destruction of personal data.

In all other cases, the Fund undertakes not to disclose the Donor’s personal information to third parties without written consent, except where required by authorized state authorities. Consent remains valid until withdrawn in writing.

9.2. The Fund shall have no other obligations towards the Donor beyond those specified in this Agreement.

10. Restrictions and Compliance

10.1. The Fund reserves the right to return a donation if its source and/or conditions contradict the Fund’s Charter, the legislation of the Republic of Kazakhstan, or ethical standards.

11. Final Provisions

11.1. By performing the actions provided for in this Agreement, the Donor confirms acceptance of all its terms, awareness of the Fund’s statutory purposes, understanding of the significance of their actions, and full legal capacity to perform them.

11.2. This Agreement shall be governed by the laws of the Republic of Kazakhstan.

11.3. Disputes shall be resolved through negotiations; failing agreement, disputes shall be referred to the competent court at the Fund’s place of registration.
